Terms and Conditions

Please read these terms carefully before using Keeps.

These Terms and Conditions (the "Terms") form a legal agreement between you and Othmane Nejdi, representing mlue Studio ("mlue Studio", "we", "us", or "our") concerning your access to and use of Keeps, including its mobile application, website, content, subscriptions, Keeps Companion, and related services (collectively, "Keeps" or the "Service").

1. Acceptance of these Terms

By downloading, accessing, purchasing, or using Keeps, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Keeps. If you use Keeps on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old, or the higher minimum age required in your country, to use Keeps. If you are under the age of legal majority where you live, you may use Keeps only with permission from a parent or legal guardian who agrees to these Terms. Keeps is not intended for anyone prohibited from receiving the Service under applicable law.

3. What Keeps provides

Keeps provides general wellness features, including check-ins, breathing and grounding sessions, relaxation content, personal patterns and recommendations, reminders, and an AI-powered conversational feature called Keeps Companion. Features may vary by account type, subscription, device, region, App version, or availability.

4. Wellness, medical, and emergency disclaimer

Keeps provides general informational and wellness content only. Keeps is not a healthcare provider, medical device, therapist, emergency service, or substitute for professional medical, psychological, psychiatric, or other healthcare advice, diagnosis, or treatment. Using Keeps does not create a doctor-patient, therapist-client, or other professional-care relationship.

Do not disregard professional advice or delay seeking care because of information from Keeps. If you have a health condition, are pregnant, experience pain or dizziness, or are unsure whether an exercise is appropriate, consult a qualified professional before continuing. Stop an activity if it causes pain, severe discomfort, faintness, or difficulty breathing.

Keeps and Keeps Companion are not crisis-monitoring tools. They may not recognize or respond appropriately to every urgent situation. If you believe you or another person may be in immediate danger, may harm themselves or someone else, or is experiencing a medical emergency, stop using Keeps and contact local emergency services or an appropriate crisis service immediately.

5. Keeps Companion and AI-generated content

Keeps Companion uses artificial intelligence to generate automated responses. AI output can be incomplete, inaccurate, inappropriate, repetitive, or unexpected and should not be treated as fact or professional advice. You are responsible for evaluating output before relying on it or acting on it.

Do not submit confidential information about another person without permission, or information you do not want processed by our AI service providers. You retain any rights you have in messages you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and transmit that content only as reasonably necessary to provide, secure, maintain, and improve the Service, subject to our Privacy Policy.

6. Guest access and accounts

You may be able to begin using Keeps as a guest before creating or linking a registered account.
You must provide accurate information and keep it reasonably current.
You are responsible for protecting your device and credentials and for activity performed through your account.
You must notify us promptly at [email protected] if you suspect unauthorized access.
You may not sell, transfer, impersonate another person through, or create an account through unauthorized automated means.

Guest data may be tied to a particular App installation and may not be recoverable if the App is removed, the device is lost, or the guest account is deleted. We are not responsible for guest data that cannot be restored where the Service did not offer or complete account linking.

7. Inactivity and automatic account deletion

An account is considered inactive after 30 consecutive days without authenticated App activity. After that period, the account and associated information will be scheduled for automatic deletion. This applies to guest accounts and may apply to registered accounts. Using Keeps before deletion resets the inactivity period.

Automatic deletion is permanent, and saved check-ins, sessions, preferences, pattern information, and Companion conversations may not be recoverable. Certain limited records may be retained where required by law or reasonably necessary for transaction, accounting, fraud-prevention, security, or legal purposes, as explained in our Privacy Policy.

8. Account deletion

You may delete your account through Keeps → Settings → Account → Delete Account, or request deletion by emailing [email protected]. Deleting the App from your device does not by itself delete your account. Account deletion does not automatically cancel an App Store subscription.

9. Free access and Keeps Pro

Keeps may provide limited free access, temporary guest access, trials, subscription features, or lifetime access. We may change which features are free or paid, provided that changes do not remove rights already purchased except where reasonably necessary for legal, safety, security, or technical reasons.

"Lifetime" means access to the applicable Keeps Pro features for the operational lifetime of the Service, not the lifetime of a user or a guarantee that Keeps will exist indefinitely. Lifetime access is subject to these Terms, platform restrictions, and continued availability of the Service.

10. Subscriptions, trials, and billing

Keeps Pro may be offered as an auto-renewable subscription through Apple's App Store. The price, billing period, trial period, and included features are shown before purchase and may vary by country, currency, taxes, and promotion. Payment is charged to your Apple Account after you confirm the purchase.

An auto-renewable subscription continues and is charged at the then-current price unless cancelled before renewal in accordance with Apple's applicable rules.
If a free trial is offered and you do not cancel before it ends, the paid subscription begins automatically.
You can view, manage, or cancel through iPhone Settings → Apple Account → Subscriptions → Keeps.
Deleting your Keeps account or the App does not cancel a subscription.
Unused time generally is not refundable except as required by law or permitted under Apple's policies.
Apple processes payments and refund requests. We do not control Apple's billing decisions.

If pricing changes, notice and consent will be handled as required by the App Store and applicable law. Purchase restoration requires the Apple Account associated with the original purchase. For more information, see our Subscriptions page.

11. Acceptable use

You agree not to, and not to help another person to:

Use Keeps unlawfully, fraudulently, deceptively, or in a way that harms another person.
Harass, threaten, exploit, impersonate, or violate the privacy or rights of another person.
Submit unlawful, infringing, abusive, malicious, or sexually exploitative content.
Use Keeps to provide medical care, emergency response, or professional advice to others.
Probe, disable, overload, disrupt, bypass, or interfere with Keeps or its security and access controls.
Introduce malware or attempt unauthorized access to accounts, systems, data, or networks.
Scrape, harvest, or extract data through unauthorized automated means.
Copy, modify, distribute, sell, lease, sublicense, reverse engineer, or derive source code from Keeps except where applicable law expressly permits it.
Use Keeps or its output to build or train a competing model, product, or service without our written permission.
Remove ownership, copyright, trademark, or attribution notices.

12. License to use Keeps

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use Keeps for your personal, non-commercial use on Apple-branded devices that you own or control, as permitted by the Apple Media Services Usage Rules. Family Sharing or volume purchasing may apply where Apple permits it. Keeps is licensed, not sold, and all rights not expressly granted are reserved by mlue Studio and its licensors.

13. Intellectual property

Keeps, including its software, design, artwork, audio, text, sessions, recommendations, branding, logos, and other content, is owned by or licensed to mlue Studio and is protected by intellectual-property laws. No right, title, or interest is transferred to you except for the limited license expressly granted above.

If you voluntarily send feedback or ideas, you allow us to use them without restriction or compensation, but you are not required to provide feedback.

14. Third-party services

Keeps relies on or may link to third-party services, including Apple, authentication providers, subscription services, AI providers, notification services, and infrastructure providers. Your use of those services may be governed by additional terms. We do not control third-party services and are not responsible for their availability, accuracy, content, or independent conduct. You must comply with applicable third-party terms, including your wireless data agreement and the Apple Media Services Terms and Conditions.

15. Changes, availability, and updates

We may update, improve, restrict, suspend, or discontinue all or part of Keeps. Features may be unavailable because of maintenance, provider outages, legal requirements, security concerns, or circumstances beyond our reasonable control. We do not guarantee that every feature or item of content will always remain available.

You may need to install updates to continue using Keeps. Updates remain subject to these Terms unless separate terms accompany them.

16. Suspension and termination

You may stop using Keeps at any time. We may restrict, suspend, or terminate access if you materially breach these Terms, create risk or harm, use Keeps fraudulently or unlawfully, fail to pay applicable fees, or if restriction is reasonably necessary for legal, safety, security, or operational reasons. Where appropriate, we will provide notice and an opportunity to address the issue.

On termination, your license ends and you must stop using Keeps. Provisions that by their nature should survive will survive, including provisions concerning intellectual property, disclaimers, liability, disputes, and amounts already owed. Termination does not automatically entitle you to a refund.

17. Disclaimer of warranties

To the maximum extent permitted by law, Keeps is provided “as is” and “as available”. We disclaim all express, implied, and statutory warranties, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, availability, and non-infringement. We do not warrant that Keeps will be uninterrupted, secure, error-free, or suitable for your individual needs, or that wellness or AI-generated content will produce a particular result.

Some jurisdictions do not permit certain warranty exclusions. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

18. Limitation of liability

To the maximum extent permitted by law, mlue Studio, Othmane Nejdi, and their service providers and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, goodwill, data, use, or business opportunity arising from or related to Keeps, even if advised that such loss was possible.

To the maximum extent permitted by law, our total liability for all claims relating to Keeps will not exceed the greater of the amount you paid for Keeps during the 12 months before the event giving rise to the claim or US $50. These limitations do not apply to liability that cannot legally be limited, including where applicable liability for fraud, willful misconduct, or death or personal injury caused by negligence.

19. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless mlue Studio and Othmane Nejdi from claims, damages, liabilities, and reasonable costs arising from your unlawful use of Keeps, content you submit, or material violation of these Terms or another person's rights. This section does not apply where prohibited by applicable consumer law.

20. Governing law and disputes

These Terms are governed by the laws applicable where mlue Studio is established, without regard to conflict-of-law principles. Disputes will be submitted to the competent courts of that location. If mandatory consumer law in your country gives you the right to rely on local law or bring proceedings in your local courts, those rights are not affected. Before filing a formal claim, please contact us so we can try to resolve the issue informally.

21. Special terms for iOS users

You acknowledge that these Terms are between you and Othmane Nejdi, representing mlue Studio, and not Apple. mlue Studio, not Apple, is solely responsible for Keeps and its content. Your license is limited to use on Apple-branded products you own or control as permitted by Apple's Usage Rules.

Apple has no obligation to provide maintenance or support for Keeps.
If Keeps fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, as provided by its rules. To the maximum extent permitted by law, Apple has no other warranty obligation.
mlue Studio, not Apple, is responsible for addressing claims relating to Keeps, including product-liability, legal-compliance, and consumer-protection claims.
mlue Studio, not Apple, is responsible for the investigation, defense, settlement, and discharge of claims that Keeps infringes third-party intellectual-property rights.
You represent that you are not located in a country subject to a United States government embargo and are not listed on a United States government restricted-party list.
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these iOS terms against you once you accept them.

22. General terms

These Terms, the Privacy Policy, and any purchase terms shown to you form the entire agreement concerning Keeps. If one provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a restructuring, merger, acquisition, or transfer of Keeps. Headings are for convenience only.

23. Changes to these Terms

We may update these Terms to reflect changes to Keeps, our business, or applicable law. The “Last updated” date at the top of this page shows the latest revision. We will provide additional notice of material changes where required. If you do not agree to updated Terms, you must stop using Keeps and may delete your account.
